Nomination Committee

The Nomination Committee's task is to present proposals for the Chairman of the General Meeting, the Board of Directors, the Chairman of the Board, auditors, the Board and auditor fees, and proposals for the Nomination Committee procedure at the Annual General Meeting.

Nomination Committee

The Nomination Committee nominates members to Prevas’s Board of Directors, who are then proposed to the Annual General Meeting. The Nomination Committee’s work begins with an evaluation of the current Board. In nominating the incoming Board, the Nomination Committee takes into account the potential members’ strategic expertise, education and any other board work. The Nomination Committee also seeks views from the major shareholders.

At the Annual General Meeting, the Nomination Committee submits proposals for remuneration to the Board members. The Nomination Committee also submits proposals for the election of auditors. The Nomination Committee is appointed by the Annual General Meeting.

Composition of the Nomination Committee

The composition of the nomination committee for each annual general meeting shall be announced no later than six months before the annual general meeting. For the 2026 annual general meeting, the nomination committee shall consist of:

  • Ulrika Grönberg (Chair of the Nomination Committee) as representative of private and related party ownership
  • Per Vannesjö as representative of Amymone, Per Vannesjö Invest, and private and related party ownership
  • Stelio Demark as representative of DeVenture

The Nomination Committee's task

The Nomination Committee shall prepare proposals for the chairman of the meeting, proposals for the number of board members, proposals for fees for board members, proposals for the board and chairman of the board, proposals for the number of auditors and election of auditors, and proposals for how the Nomination Committee shall be appointed for the 2026 Annual General Meeting, along with its mandate.

Nomination committee fee

The chairman of the nomination committee shall receive SEK 30,000 and the other members shall receive SEK 15,000 in annual fees for their work. The company shall also pay necessary expenses incurred by the nomination committee in connection with its work.

Shareholders can submit proposals

Shareholders are welcome to submit proposals and comments to the Nomination Committee no later than 31 January 2026 via email at ir@prevas.se.
